Terms of Service

1. The Service

The Service is a private tool for managing home-renovation projects between Trade In Holdings (or a property manager) and the contractors it invites. It lets the parties track scope, share documents and photos, message one another, and manage draws and approvals. The Service is provided for this purpose only.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using it, you represent that you meet these requirements.

3. Access & Accounts

Access is by invitation. Property managers sign in with a password; contractors join through a private invite link and are then remembered on their device. Invite links and passwords are confidential — do not share them. You are responsible for activity that occurs through your access, and you agree to provide accurate information (including your name, contact details, and any tax or identity documents requested).

4. Your Content

You may submit content to the Service, including photos, messages, documents (such as W-9 forms and bids), change orders, and other information (“Your Content”). You retain ownership of Your Content. You grant Trade In Holdings a non-exclusive, worldwide license to host, store, reproduce, and display Your Content solely to operate and provide the Service. You represent that you have the rights to submit Your Content and that it does not violate any law or the rights of others.

5. Acceptable Use

You agree not to:

• use the Service for any unlawful or unauthorized purpose;
• upload another person’s personal or confidential information without their permission;
• attempt to access data, accounts, or projects that are not yours;
• interfere with, disrupt, probe, or attempt to circumvent the security of the Service.

6. Third-Party Services

The Service relies on third-party providers for hosting, storage, and database. We are not responsible for the acts or omissions of those providers, and your use of the Service may also be subject to their terms.

7. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any data will not be lost.

8. Limitation of Liability

To the fullest extent permitted by law, Trade In Holdings will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed one hundred U.S. dollars ($100).

9. Indemnification

You agree to indemnify and hold harmless Trade In Holdings from any claims, damages, or expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms.

10. Termination

We may suspend or terminate access to the Service at any time, including by removing a contractor or regenerating an invite link. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.

11. Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted, and the “Last updated” date will reflect the most recent revision. Continued use of the Service after changes means you accept the updated Terms.

12. Governing Law

These Terms are governed by the laws of the United States of America and, to the extent applicable, the laws of the U.S. state in which the relevant property is located, in each case without regard to conflict-of-laws rules.
